Chateau Circle Affiliate Program Terms
1. Signing up as an Affiliate
Any person or organization who joins the Chateau Circle Affiliate Program (the “Affiliate”) shall earn an affiliate payout based on the calculations and details included in this program document or any amendments or changes made by Chateau Flooring, Inc. (the “Company”), as the case may be from time to time. By signing below, the new Affiliate agrees to be bound by any and all terms and conditions of the Affiliate Program.
2. Introduction of Clients
Affiliate can earn an Affiliate Payout Amount (the “Payout”) by introducing their clients and any related projects to either Neo Flooring or Heritage Grain Millworks (the “Member Companies” or “Member Company”, if referring to an individual company) which will provide the products and services for completion of the project. Client introductions are either:
- a new client previously unknown to the Member Companies
- a returning client with a new project so long as the Member Companies have not already been in communication with the client about the related project
A client introduction must be exclusive to an Affiliate and cannot be shared or previously introduced by another Affiliate for the same project.
3. Basis of Payout
The basis for calculating the Payout shall be the gross amount of products and/or services invoiced by a Member Company to a client introduced exclusively by the Affiliate whose authorized signature appears below. The gross amount shall be inclusive of product and services provided to the client only. It shall not include:
- sales tax
- warranty
- repair
- delivery
- maintenance programs
- logistics and freight costs
- any other fees not included as a product or service
4. Affiliate Payout Percentages and Milestones
The Payout amount shall be calculated on a project-by-project basis using the percentages in the table below. Each project shall be added cumulatively to determine the aggregate total invoiced on a year-to-date basis. The year-to-date total shall determine the appropriate payout percentage to be used based on the table below for calculating the Payout for each project:
- 3% — $0 – $250,000
- 4% — $250,001 – $650,000
- 5% — $650,001 +
In the event the gross total of products and services for a client project would result in the Aggregate Year-to-Date Total Invoiced breaking the ceiling into the next Payout Percentage, the higher percentage will be applied to the entire project amount for Payout calculation purposes.
In the event a client project extends past December 31st and into a new year, the Payout Percentage applied to calculate the amount owed to Affiliate shall be the Payout Percentage which would have been in effect had the project completed in the year the project was initiated.
Payouts earned by an Affiliate shall not be capped in a calendar year.
The Aggregate Year to Date Total Invoiced which forms the basis for the Payout Percentage tiers will reset to zero every January 1st.
5. Affiliate Payout Timing
Any prospective Payout to an Affiliate shall only be considered earned and payable upon the execution of the final project signoff by the Client and receipt of all sums owed to the Member Company from Client for the respective project. Payment of any Payout amount owed to Affiliate will be paid thirty (30) days after receipt of final payment for all amounts owed to the Member Company from Client.
6. Adjustments to the Affiliate Payout
In the event there are any changes, reductions, credits, chargebacks, disputed amounts, unpaid balances or setoffs related to a client project, the gross amount of products and services upon which the Payout amount is based shall be reduced by any such amount on a dollar-for-dollar basis. If such amount is subsequently received by the Member Company, the Affiliate shall receive the appropriate Payout amount associated with said amount.
7. Miscellaneous Program Provisions
a. Changes to Affiliate Program
The Company may amend or change the terms, conditions and member companies of the Affiliate Program at any time and for any reason at its sole discretion with or without prior notice.
b. Entire Agreement
This document contains the entire agreement between the Affiliate and Company with respect to the subject matter hereof and supersedes any and all communications whether written or oral on the topic.
c. Governing Law
This program shall be exclusively governed by the laws of the state of North Carolina.
